IMPORTANT: MindHealthFlow AI provides tools to assist healthcare professionals. Our AI systems do not replace professional medical judgment and should not be used as the sole basis for clinical decisions. Healthcare providers remain solely responsible for all treatment decisions and patient outcomes.

1. Acceptance of Terms

By accessing or using MindHealthFlow AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all users, including healthcare providers, practice administrators, and patients who access the Service.

2. Service Description

MindHealthFlow AI provides AI-powered practice management tools for mental health professionals, including:

  • Automated clinical note generation and documentation
  • AI-assisted treatment planning and recommendations
  • Voice-to-text transcription services
  • Scheduling and appointment management
  • Billing and insurance processing assistance
  • Patient portal and communication tools

3. User Eligibility and Registration

3.1 Professional Requirements

To use our Service, you must:

  • Be a licensed healthcare professional or authorized representative
  • Maintain current professional licenses and certifications
  • Comply with all applicable healthcare regulations
  • Provide accurate and complete registration information

3.2 Account Security

  • You are responsible for maintaining the security of your account
  • Multi-factor authentication (MFA) is required
  • You must notify us immediately of any unauthorized access
  • Sharing account credentials is strictly prohibited

4. AI System Limitations and Responsibilities

Professional Responsibility

  • AI-generated content requires human review and validation
  • Healthcare providers must exercise independent clinical judgment
  • AI recommendations are suggestions, not medical advice
  • Final treatment decisions remain with the healthcare provider

4.1 AI System Capabilities and Limitations

  • AI models may produce inaccurate or incomplete information
  • System performance may vary based on input quality and context
  • AI cannot replace human empathy, intuition, or clinical experience
  • Users must validate all AI-generated content before use

5. Acceptable Use Policy

5.1 Permitted Uses

  • Clinical documentation and note-taking
  • Treatment planning and case management
  • Administrative tasks and practice management
  • Patient communication and education

5.2 Prohibited Uses

  • Using the Service for emergency or crisis situations
  • Attempting to reverse engineer or exploit AI models
  • Sharing access credentials or unauthorized account access
  • Inputting data that violates patient privacy rights
  • Using the Service for illegal or unethical purposes
  • Attempting to circumvent security measures or usage limits

6. Service Level Commitments

Service Level Agreement (SLA)

  • Uptime: 99.9% availability (excluding scheduled maintenance)
  • Support Response: 24 hours for standard tickets, 4 hours for urgent
  • Data Backup: Daily encrypted backups with 30-day retention
  • Security Updates: Critical patches within 48 hours

6.1 Scheduled Maintenance

We perform regular maintenance during off-peak hours (typically 12 AM - 4 AM ET) with 48-hour advance notice for major updates.

7. Data Ownership and Intellectual Property

7.1 Your Data

  • You retain ownership of all data you input into the Service
  • We do not claim ownership of your clinical notes or patient data
  • You grant us limited rights to process data to provide the Service
  • Data export capabilities are available at any time

7.2 Our Intellectual Property

  • The Service, including AI models and algorithms, is our proprietary technology
  • Users receive a limited, non-exclusive license to use the Service
  • Reverse engineering or attempting to extract our IP is prohibited

8. Payment Terms and Billing

8.1 Subscription Plans

  • Starter Plan: $99/month with 20-day free trial
  • Professional Plan: $149/month with 20-day free trial
  • Enterprise Plan: Custom pricing with dedicated support

8.2 Billing and Refunds

  • Subscription fees are billed monthly or annually in advance
  • No refunds for partial month usage unless required by law
  • Price changes require 30-day advance notice
  • Failed payments may result in service suspension

9. Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINDHEALTHFLOW AI SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES
  • DAMAGES RESULTING FROM AI SYSTEM ERRORS OR INACCURACIES
  • TREATMENT DECISIONS BASED ON AI RECOMMENDATIONS
  • SYSTEM DOWNTIME OR SERVICE INTERRUPTIONS

Our total liability for any claim shall not exceed the amount paid by you for the Service in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless MindHealthFlow AI from any claims, damages, or expenses arising from:

  • Your use of the Service in violation of these Terms
  • Treatment decisions made using AI recommendations
  • Violations of patient privacy or applicable healthcare laws
  • Your negligent or intentional acts or omissions

11. Termination

11.1 Termination by You

You may terminate your account at any time through your account settings or by contacting support. Data export tools are available for 30 days after termination.

11.2 Termination by Us

We may terminate or suspend your account for:

  • Violation of these Terms or our policies
  • Non-payment of fees
  • Illegal or harmful activities
  • Loss of professional license or credentials

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Austin, Texas, except for claims seeking injunctive relief.
